3. Client Responsibilities

The client agrees to provide accurate and timely information, materials, access credentials, approvals, content, and other resources reasonably required to provide the services.

The client is responsible for ensuring that all information, claims, products, services, images, videos, trademarks, and other materials provided to Havn Media are lawful and that the client has the necessary rights to use them.

Delays caused by the client, including delayed approvals, missing information, restricted account access, or failure to provide required materials, may affect project timelines and deliverables.

4. Advertising Platforms

Where advertising services are provided, campaigns may be run through third-party platforms such as Meta, Facebook, Instagram, Google, or other advertising networks.

These platforms independently control their policies, algorithms, approval processes, account restrictions, advertising costs, availability, and performance.

Havn Media does not control decisions made by these third-party advertising platforms.

5. No Guarantee of Results

Digital marketing results depend on numerous factors, including:

• Market conditions
• Competition
• Advertising budgets
• Product or service quality
• Pricing
• Website performance
• Sales processes
• Customer demand
• Advertising platform algorithms
• Third-party platform policies
• Client responsiveness

Accordingly, Havn Media does not guarantee any specific number of leads, sales, revenue, followers, impressions, conversions, return on ad spend, or other specific business results unless expressly agreed in writing.

Past results, case studies, testimonials, or examples displayed on our website are not guarantees of future performance.

6. Fees and Payments

Fees may be offered through:

• Monthly retainers
• Recurring subscriptions

• Other payment arrangements agreed with the client

Fees, payment schedules, deliverables, and service terms may be specified in a proposal, quotation, invoice, agreement, or other written communication.

Unless otherwise agreed in writing, payments must be made according to the agreed payment schedule.

7. Recurring Services and Subscriptions

For monthly retainers or subscription-based services, the client authorises Havn Media / DUDEJA ADVERTISERS to charge the agreed amount according to the agreed billing schedule.

Recurring services may continue until cancelled or terminated in accordance with the applicable service agreement or written arrangement.

Failure of a payment may result in suspension or termination of services.

8. Non-Refundable Payments

All payments made to Havn Media / DUDEJA ADVERTISERS are non-refundable, subject to any rights that cannot legally be excluded under applicable law.

This includes payments relating to:

• Monthly retainers
• Subscription fees
• Advance payments
• One-time projects
• Campaign management
• Strategy or consulting
• Creative work
• Website development
• Other services

9. Third-Party Costs

Advertising spend, platform fees, software subscriptions, hosting charges, domain fees, stock assets, third-party services, and other external costs may be separate from Havn Media's service fees unless specifically stated otherwise.

10. Intellectual Property

Unless otherwise agreed in writing, Havn Media retains ownership of its pre-existing materials, systems, templates, strategies, processes, frameworks, methodologies, internal documents, and proprietary resources.

Client-specific deliverables may be transferred or licensed to the client according to the applicable proposal, agreement, or payment terms.

Third-party materials remain subject to their respective ownership and licensing terms.

11. Confidentiality

Both parties agree to treat confidential business, commercial, technical, financial, and other non-public information received from the other party as confidential, except where disclosure is required by law or necessary to provide the agreed services.

Termination does not automatically create an entitlement to a refund.
